Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

  • Device means any device that can access the Service such as a computer, a cell phone or a digital tablet.
  • Promotions refer to contests, sweepstakes or other promotions offered through the Service.
  • Service refers to the Website.
  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
  • Website refers to Utility Services Advisory Group LLC
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

About Our Services

USA Energy is an independent energy broker. We are not a utility, an energy supplier, or a generator of electricity or natural gas, and we do not deliver energy. We compare offers from third-party suppliers and, at your direction, help facilitate an agreement between you and a supplier of your choosing. Any energy supply contract is solely between you and the chosen supplier and is governed by that supplier’s own terms.

Our rate analysis is provided free of charge and with no obligation to switch suppliers. Rates, savings estimates, and supplier offers are based on information available at the time and on the data you provide; they are estimates, are not guaranteed, and may change. Actual savings depend on your usage, the supplier’s terms, market conditions, and applicable utility charges.

Commercial Use Only

The Service is intended for commercial and business customers only. We do not provide energy brokerage services to residential customers. By using the Service, you represent that you are using it on behalf of a business, organization, or other commercial entity, and that you are authorized to act on that entity’s behalf.

No Professional, Financial, or Legal Advice

The information we provide through the Service, including rate comparisons, savings estimates, market commentary, and content on our blog, is for general informational purposes only. It is not financial, investment, accounting, tax, or legal advice, and it should not be relied on as a substitute for advice from a qualified professional. We are not a licensed financial advisor. Before entering into any energy supply agreement, you are responsible for reviewing the supplier’s contract terms and for seeking your own professional advice where appropriate.

Authorization to Obtain Account Information

To prepare a rate analysis or facilitate an agreement with a supplier, we may ask you to provide a Letter of Authorization (LOA) or similar consent. By signing or submitting an LOA, you authorize us to obtain your utility account information, usage history, and related data from your current utility or supplier, and to share that information with prospective suppliers solely for the purpose of preparing quotes and facilitating an agreement you direct. You may withdraw this authorization at any time by contacting us, though doing so may limit our ability to provide the Service.

Your Content and Submissions

When you upload, submit, or send us documents or information, such as utility bills, account numbers, meter numbers, business contact details, or other materials (“Your Content”), you represent that you have the right to provide it and that doing so does not violate any law or any third party’s rights. You grant the Company a limited, non-exclusive license to use Your Content solely to provide the Service to you, including preparing rate analyses, obtaining supplier quotes, and facilitating an agreement at your direction. We handle Your Content in accordance with our Privacy Policy. You are responsible for the accuracy of the information you provide, and we are not liable for results based on inaccurate or incomplete information.

Consent to Electronic Communications

By providing your contact information and requesting a rate analysis or other service, you consent to receive communications from us electronically and by phone, including by email, text message, and telephone, at the addresses and numbers you provide, for purposes related to your request and our services. Message and data rates may apply to text messages. You may opt out of marketing emails by using the unsubscribe link in any message, opt out of text messages by replying STOP, and request to be placed on our internal do-not-call list by contacting us. Opting out of marketing communications does not affect service-related communications necessary to respond to a request you have made. This consent is not a condition of any purchase.

Intellectual Property

The Service and its original content (excluding Your Content and content provided by third parties), features, and functionality are and will remain the exclusive property of the Company and its licensors. This includes our text, graphics, logos, the USA Energy name and mark, and the design and layout of the Website. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written permission, except that you may view and print pages for your own internal business use.

Promotions

Any Promotions made available through the Service may be governed by rules that are separate from these Terms. If You participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, Your right to use the Service will cease immediately.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven’t purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever. Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including in connection with any content or information you submit to us.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident in.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
